The Fortis Board is the ultimate decision-making body of Fortis, with the exception
of matters reserved to the shareholders by company law or by the Articles of
Association. The primary responsibilities of the Board are to provide strategic
direction for Fortis and to monitor Fortis affairs.
The Board has a maximum of seventeen members, while the actual number may vary
according to the needs of Fortis. It has a majority of Non-executive Board members
and at least one Executive Board member.
In principle, the Board has ten scheduled meetings each year. Additional meetings
may be called with appropriate notice at any time to address specific needs
of the business.
